Terms of Service

These terms govern your use of the VynSales web application and the VynSales mobile apps for iOS and Android (together, the “Service”), operated by Agilec Technology Sdn Bhd (“VynSales”, “we”, “us”), of 2A-1, Jalan Puteri 2/5, Bandar Puteri, 47100 Puchong, Selangor, Malaysia. By creating an account or using the Service you agree to them. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind that organisation.

The Service

VynSales is business software for managing customers, quotations, sales orders, delivery orders, invoices, payments, and related records, together with optional integrations to accounting systems and payment providers. We may add, change, or remove features over time.

Accounts and access

• An account belongs to an organisation. The organisation’s account owner controls who is invited, what permissions each user holds, and who is removed.
• You are responsible for keeping your credentials confidential and for activity carried out under your login. Tell us promptly if you believe an account has been compromised.
• Access is licensed per seat. Adding users beyond your plan’s included seats incurs the per-seat charge described at checkout.

Your data

• The records your organisation creates in the Service — customers, documents, prices, payments, uploaded files — remain yours. We process them to operate the Service on your behalf.
• You are responsible for the accuracy and lawfulness of the data you enter, including having a lawful basis to store the personal data of your own customers and contacts.
• How we handle personal data is set out in our Privacy Policy.

Acceptable use

You agree not to:

• use the Service unlawfully, or to store or transmit unlawful or infringing content;
• attempt to gain access to another organisation’s data, probe or test the security of the Service, or interfere with its normal operation;
• resell, sublicense, or provide the Service to third parties except under a reseller arrangement agreed with us in writing;
• use automated means to place unreasonable load on the Service or to circumvent seat, rate, or plan limits.

We may suspend access where use of the Service threatens its security, stability, or lawful operation.

Fees and billing

• Paid plans bill in advance, monthly or yearly, at the price shown at checkout. Overage for extra seats and extra companies bills as described there.
• Subscriptions renew automatically until cancelled.
• Refunds, proration, plan changes, and cancellation are governed by our Refund Policy.
• If a payment fails or an account falls into arrears, paid features may be restricted until the balance is settled.

Third-party services

The Service can connect to third-party providers — payment gateways, accounting software, and email delivery among them — using credentials you supply. Those providers operate under their own terms, and we are not responsible for their availability, fees, or handling of transactions you route through them.

Availability and support

We aim to keep the Service available continuously but do not guarantee uninterrupted operation. Maintenance, upgrades, and factors outside our control may cause downtime. We provide support by email; we do not commit to a specific response time unless separately agreed in writing.

Warranties and liability

The Service is provided “as is”, without warranties of any kind to the extent permitted by law. Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, Agilec Technology Sdn Bhd is not liable for indirect or consequential loss, or for loss of profits, revenue, goodwill, or data, and total liability arising out of or in connection with the Service is limited to the fees you paid for it in the twelve months preceding the event giving rise to the claim.

You remain responsible for keeping your own records. The Service is not a substitute for professional accounting, tax, or legal advice.

Suspension and termination

• You may stop using the Service and cancel your subscription at any time.
• We may suspend or terminate access for material breach of these terms, non-payment, or where required by law.
• After termination you may request an export of your data for a reasonable period before it is deleted. See our data deletion page.

Changes to these terms

We may update these terms as the Service changes. Material changes will be notified in the application or by email. Continuing to use the Service after a change takes effect means you accept the updated terms.

Governing law

These terms are governed by the laws of Malaysia, with the courts of Malaysia having exclusive jurisdiction.
